Terms and Conditions

1. Introduction

Welcome to VibeXP, a service provided by Shaharia Lab OÜ, a private limited company registered in the Commercial Register of the Republic of Estonia under registry code 16738191, located at Ahtri tn 12, Tallinn, Estonia ("Company", "we", "us", or "our").

By creating an account or using VibeXP (the "Service"), you agree to these Terms. If you are using the Service on behalf of an organization, you agree to these Terms on behalf of that organization and represent that you have the authority to do so.

2. Description of Service

VibeXP is an AI workflow infrastructure platform that enables users to:

  1. Manage and store Prompts, Memories, and Artifacts.
  2. Integrate third-party tools via API and Model Context Protocol (MCP).
  3. Facilitate Agent-to-Agent (A2A) interactions.

Status as Infrastructure: You acknowledge that VibeXP provides the orchestration layer and storage infrastructure. We do not control the third-party AI models (e.g., OpenAI, Anthropic) or external agents you connect to the Service.

3. Account Registration & Security

  • Eligibility: You must be at least 18 years old to use the Service.
  • Credentials: You are responsible for maintaining the security of your account credentials and API keys. You are liable for any activity that occurs under your account, including usage by others to whom you have shared your API keys.
  • Team Access: If your plan allows team access, you are responsible for ensuring your team members comply with these Terms.

4. User Content & Data Ownership

  • Your Ownership: You retain full ownership of all prompts, conversation logs, memories, artifacts, and A2A agent configurations ("User Content") you upload or generate.
  • License to Us: You grant Shaharia Lab OÜ a limited, non-exclusive, worldwide license to host, copy, transmit, and display your User Content solely as necessary to provide the Service to you.
  • No AI Training: We will not use your User Content to train our foundational AI models or for public-facing algorithms without your explicit, opt-in consent.
  • Data Export: You may export your User Content at any time via the VibeXP interface or API, subject to active account status.

5. Subscription, Payments & Withdrawal Waiver

  • Billing: Services are billed in advance on a monthly or annual basis.
  • Right of Withdrawal Waiver: IF YOU ARE A CONSUMER BASED IN THE EU/EEA: You expressly agree that the supply of the digital content (the Service) begins immediately after your purchase. You acknowledge that by this agreement, you lose your right of withdrawal from the contract once the download or streaming of the digital content has begun.
  • Refunds: Except as required by law, all fees are non-refundable.
  • Plan Changes: If you downgrade your subscription, your access to features will change at the start of your next billing cycle. If your stored data exceeds the limits of your new plan, your data will be locked (read-only). We reserve the right to delete locked data after 90 days of inactivity if you do not upgrade to a sufficient plan.

6. Acceptable Use Policy (AUP)

You agree not to use the Service to:

  1. Generate Malicious Content: Create malware, viruses, or code intended to disrupt systems.
  2. Harmful Agents: Deploy A2A agents that engage in harassment, hate speech, or illegal activities.
  3. Infrastructure Abuse: Attempt to overwhelm our infrastructure (DDoS), scrape our platform, or reverse engineer our proprietary code.

We reserve the right to immediately revoke API keys or suspend accounts found in violation of this AUP without refund.

7. Third-Party Integrations & MCP

  • BYO-AI (Bring Your Own AI): The Service allows integration with third-party tools (e.g., VS Code, Cursor, External LLMs) via MCP. We are not responsible for the availability, uptime, or pricing changes of these third-party services.
  • Agent Output: VibeXP facilitates the conversation between agents but is not the author of the content they generate. We disclaim all liability for any advice, code, or outputs generated by AI agents hosted or connected via our platform.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY ESTONIAN LAW, SHAHARIA LAB OÜ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  1. Indirect Damages: WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.
  2. Liability Cap: OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Governing Law & Dispute Resolution

  • Jurisdiction: These Terms are governed by the laws of the Republic of Estonia.
  • Dispute Resolution: Any disputes arising from these Terms shall be settled in Harju County Court (Tallinn, Estonia).
  • ODR: If you are a consumer in the EU, you may use the Online Dispute Resolution platform.
